I'll take a stab at it. If IBM was the buyer one might be pretty sure one would indeed get the $77 per ADS at some point next year. In this case with this consortium of buyers, none of whom one may ever have heard of, plus some folks issuing debt financing, there is perhaps more risk the deal will not go thru. If that failure to go thru occurs the ADSes will tank and owners will be left holding the bag so one might consider the difference twixt $73 and $77 kind of a risk hedge.
